We will proceed, after purchase of the factory, to demolish and ship the material to you at the cost of One Hundred and Ten U.S. Dollars (U.S.$110.00) per metric ton.  This cost will apply to all the material on site to the last metric ton shipped and will be charged via the B.O.L. and paid accordingly. Upon this payment of Twelve Million Six Hundred Thousand U.S. Dollars (U.S.$12,600,000.00) the ownership of the factory would be transferred to you.  Payment is to be distributed as follows:
Three Million U.S. Dollars ($3,000,000.00 U.S.) deposited upon verification of material by yard visit
The balance of Nine Million Six Hundred Thousand U.S. Dollars (U.S.$9,600,000.00) to be paid by opening an Irrevocable Letter of Credit within three (3) working days of the initial deposit.
The transfer documents would be submitted to you within seven (7) working days of the initial deposit, upon which the final payment is to be made.

This Factory is to be sold at One Hundred and Forty U.S. Dollars (U.S. 140.00) per metric ton totaling Twelve Million Six Hundred Thousand U.S. Dollars (U.S.$12,600,000.00).

The materials on hand as per the SGS Inspection Report weighs approximately 90,000 metric tons.  A B.L.C. from your representative financial institution is required.

Draft Transaction Details

The ports being considered for usage are the La Brea Port or Point Lisas Shipping Port for departure from Trinidad.  All shipment will be bulk shipped.  It is the buyers responsibility to provide necessary shipping destination details to effectively manage this process.  The bulk shipping capacity is measured at Thirty Thousand (30,000) Metric Tons.

Shipping Considerations

The process will be photographed, with pictures of every floor and interest areas of the factory, to catalog the asset.  A schedule of demolition will be provided so that shipments could be easily verified on the receivers end.  Each trailer will be weighed, photographed and signed off or approved for leaving the compound and checked off on a master sheet of assets.  It will be moved to the storage area on the docks to achieve the necessary tonnage requirement for shipping.  When this weight is achieved, it will then be moved dock side and stockpiled in a manner that it could be reached by the ship cranes.  The equipment to achieve this will be provided by the demolition contractor whose contractual responsibility of the assets will be from demolition to delivery at port as per F.O.B. arrangement. 

The material on being removed from the main structure, will be cut to manageable sizes and placed in lots, photographed and cataloged for its content, packed onto trailers and weighed using a portable truck scale, then transported to the port for storage in a laydown yard.  Material required to meet the ships capacity will be at dock side twice per month.  A forecasted schedule will be forwarded to you before the start of the demolition process. 


Process

All the necessary clearances for demolishing and removal of materials are in our possession.  We will be monitored by the factory Inspectors according the OSHA standards, with special emphasis to safety procedures, the use of properly certified scaffolding and demolishing processes etc.

We have contracted out the demolition of the factory to a company that has all the licenses for demolition and the necessary equipment needed to effectively carry out the task.  They will also be responsible for the transporting of material to the dock and the moving of the material on the docks. We have a secure laydown site on the docks where we will stockpile the materials.  When the ship is due for loading, the material will then be moved to dock side for uploading.  SGS Inspection Services will be provided to assure what is taken off the site at the factory is delivered to you.
